1. Introduction and Scope

These Terms and Conditions ("Terms") govern your access to and use of the EraNext Auto Private Limited website, the Mercury One hardware device, the EraNext Companion Application (iOS and Android), and all associated embedded software, updates, and network services (collectively, the "Products and Services"). By purchasing, installing, or using our Products and Services, you agree to be bound by these Terms.

2. Binding Agreement

By registering with, accessing, or otherwise using this website or our Products and Services, you hereby agree to be bound by these Terms and Conditions set forth below. EraNext is committed to transforming vehicular safety through innovation, and the mere use of our ecosystem implies your knowledge and acceptance of these operational guidelines.

3. Driver Empowerment and Safety

3.1. Assistive Technology

The Mercury One device, featuring its Advanced Driver Assistance Systems (ADAS), AI Co-Pilot, and V2X network capabilities, is engineered as a state-of-the-art assistive tool to empower drivers and enhance situational awareness. It is designed to supplement, not replace, human judgment and is not a fully autonomous driving system.

3.2. Shared Responsibility

While EraNext continuously innovates to foresee the invisible and mitigate risk, the driver remains ultimately responsible for the safe and legal operation of the vehicle. Drivers must maintain control of the vehicle and adhere to traffic laws. EraNext provides advanced technological safeguards but cannot bear liability for accidents, injuries, or property damage resulting from driver negligence or misuse of the device.

4. Emergency Services and Connectivity (SOS & V2X)

4.1. Robust Network Infrastructure

Our verbal distress caller ("Help! Help! Help!"), auto-dispatch SOS, and V2V Mesh Network features represent the pinnacle of automotive safety tech, designed to utilize third-party cellular networks (4G LTE/5G), GNSS/GPS, and nearby connected infrastructure to facilitate rapid emergency response.

4.2. Best-Effort Emergency Protocols

EraNext engineers its systems for maximum reliability, including our proprietary V2V Mesh Network fallback to bypass cellular dead zones. However, because these systems rely on external third-party telecommunications and topographical variables, we cannot guarantee absolute 100% signal transmission in all global environments. The SOS feature is an advanced supplementary safety measure and should be used alongside traditional emergency communication methods.

5. Software License and Over-The-Air (OTA) Updates

5.1. Limited License

The cutting-edge software embedded in the Mercury One device and the Companion App is licensed to you. EraNext grants you a non-exclusive, non-transferable license to utilize this software to maximize your hardware's capabilities.

5.2. Continuous Evolution (OTA)

To ensure your vehicle’s intelligence scales over time, EraNext will periodically provide Over-The-Air (OTA) updates. These updates are designed to enhance safety protocols, introduce new V2X features, and optimize system performance. By maintaining network connectivity, you consent to receive these essential automated improvements.

6. Installation and Vehicle Integrity

6.1. Professional Integration

To guarantee the integrity of both the Mercury One ecosystem and your vehicle, we highly recommend utilizing our authorized white-glove installation technicians.

6.2. Warranty Preservation

Mercury One is meticulously designed for seamless, plug-and-play integration without cutting factory wires, intended to preserve your vehicle's OEM warranty. However, EraNext is not liable for voided third-party warranties or electrical anomalies caused by unauthorized, improper self-installation.

7. Data Privacy, Telemetry, and Digital Glovebox

7.1. Commitment to Data Security

EraNext is deeply committed to user privacy and complies with applicable data protection regulations, including the principles of India's Digital Personal Data Protection (DPDP) framework. Telemetry data (GPS, speed, Eco-Scores) and optical data are collected solely to power core functionalities like Valet Guardian, crash detection, and to continuously train our safety algorithms.

7.2. Digital Glovebox

Documents synced with the Digital Glovebox (e.g., DigiLocker, MoRTH) are encrypted and stored locally/securely. While we provide a secure digital vault, users must verify the legal acceptance of digital documents with local law enforcement during transit.

8. Security and Privacy Balance (Dashcam)

8.1. Optical Array Features

Mercury One’s Sony 4x360° Panoramic array and ADAS Dashcam offer unparalleled security recording. To assist you in maintaining privacy, the system allows you to manage interior audio recording settings.

8.2. Regulatory Compliance

As privacy and surveillance laws vary significantly by region (e.g., military zones, corporate campuses), it is the driver's responsibility to use the recording features in compliance with local regulations and passenger consent norms. EraNext provides the tools, but relies on the user for lawful operation.

9. System Integrity and False Alarms

9.1. Emergency Resource Management

The automated collision dispatch and verbal SOS features are designed to save lives in genuine emergencies. We encourage users to familiarize themselves with the system to prevent accidental triggers.

9.2. Liability for Misuse

To protect vital public emergency resources, the user accepts financial responsibility for any penalties or fees levied by municipal authorities, NHAI, or first responders resulting from the intentional misuse or repeated negligent false alarms originating from their device.

10. Ecosystem Integrations

10.1. Third-Party Platforms

The Mercury One experience is enhanced by third-party integrations (Apple CarPlay, Android Auto, telecom providers). EraNext works diligently to maintain these bridges; however, we are not responsible for service interruptions caused by external policy changes, telecom outages, or third-party software bugs.

11. Account Security and Vehicle Tracking

11.1. Digital Geofencing

Features like real-time GPS tracking and Valet Guardian rely on the security of your Companion App. Users are responsible for maintaining strong account credentials and securing their mobile devices to prevent unauthorized access to the vehicle's telemetry data.

12. Intellectual Property

EraNext Auto Private Limited retains all rights, titles, and interests in its proprietary AI neural network architectures, V2X mesh protocols, device firmware, and UI/UX designs. These innovations represent substantial investments in deep-tech R&D. Users are granted access to use the technology but may not reverse-engineer, decompile, or extract the source code or AI models.

13. Refund and Return Policy

13.1. Standard Withdrawal

We stand by the quality of our engineering. You have the right to withdraw from this contract within 14 days of acquiring physical possession of the goods, provided they are in original condition. Please refer to our detailed Refund Policy page for specific RMA procedures.

14. Warranties and Limitation of Liability

14.1. Hardware and Software Provision

Mercury One hardware is covered by our standard Limited Hardware Warranty provided at the time of purchase. However, the embedded software and network services are continuously evolving and are provided on an "as is" and "as available" basis, subject to the complexities of real-world road conditions.

14.2. Liability Cap

To the maximum extent permitted by Indian consumer law, EraNext Auto Private Limited’s total liability for any claims arising from the Products and Services shall be limited to the total amount paid by the user for the product. EraNext will not be liable for indirect, incidental, or consequential damages.

15. Export Restrictions / Legal Compliance

You may not use this website or our physical hardware in violation of the export laws and regulations of India or any applicable international trade sanctions.

16. Indemnification

You agree to indemnify and hold EraNext Auto Private Limited harmless from any claims, damages, or expenses arising from your violation of these Terms, local traffic laws, or third-party privacy rights during your use of the device.

17. Choice of Law and Jurisdiction

These Terms shall be governed by the laws of India. As an Indian deep-tech startup, any disputes relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

18. Pre-Booking and Founders Limited Edition Terms

18.1. Reservation and Deposit

To secure a pre-booking reservation for the Mercury One device, customers are required to remit a fully refundable deposit of ₹99.00. This secures your priority position in our fulfillment queue.

18.2. Final Payment

The introductory launch price for the Mercury One device is ₹67,796 (exclusive of applicable GST). The remaining balance will only become due when your reserved unit completes manufacturing and is prepared for dispatch.

18.3. Delivery Estimates

Deliveries are scheduled to commence in Q1 2027. We strive to meet all estimated delivery windows, though these are projected timelines subject to standard global supply chain variables.

18.4. Founders Limited Edition Benefits

Early supporters granted "Founders Limited Edition" status receive exclusive benefits, including a Price Lock Guarantee against future retail price increases, a complimentary 2-year premium subscription (valued at ₹12,000), and priority white-glove installation scheduling.

18.5. Cancellation

The ₹99.00 deposit is fully refundable. You maintain the right to cancel your reservation at any time prior to final payment and dispatch for a full refund of the deposit.
